1. Eligibility and Use of Service

By using Kim or Kimigrate, you represent that you are at least 18 years of age. Kognitico grants you a non-exclusive, non-transferable, revocable license to use our platform for personal or professional immigration preparation. You agree to provide only truthful, accurate, and current information.

2. Fees, Billing, and Refunds

If you subscribe to paid tiers of Kim or Kimigrate, you agree to our billing terms. All subscription plans are billed on a recurring basis (monthly or annually) and will automatically renew under the same terms unless cancelled prior to the renewal date. Due to the digital nature of the services and the immediate computing resources utilized by our AI features, all fees are non-refundable, subject only to mandatory consumer protection laws in your jurisdiction.

3. Agentic AI, Automations, and Attorney Responsibility

• AI Automation: By utilizing Kimigrate's agentic features (such as automated form filling and browser automation), you authorize Kognitico's AI agents to interact with third-party portals, government sites, or external forms on your behalf based entirely on the data you provide.
• Attorney and Professional Responsibility: If you are an attorney or legal professional using this platform, you acknowledge that Kim and Kimigrate are purely clerical drafting aids. You retain sole, non-delegable professional responsibility for independently reviewing, verifying, and vetting the accuracy and legal sufficiency of all information, documents, and forms before they are filed with any government agency or court.

4. Ownership of Outputs and No Privilege

You retain full ownership of all data you input and any documents generated for your use by the platform. Kognitico owns all rights, title, and interest in the underlying software, AI architecture, interface designs, and proprietary algorithms.

No Privilege: Because Kognitico is a technology provider and not a law firm, any information, text, or documents you enter into the platform are not protected by attorney-client privilege or the work-product doctrine.

5. "As Is" Disclaimer and Limitation of Liability

• "As Is" Service: Kim and Kimigrate are provided on an "AS IS" and "AS AVAILABLE" basis. The platform is continuously evolving, and you acknowledge that software bugs, service interruptions, inaccuracies, or AI "hallucinations" may exist.
• Limitation of Liability: Kognitico disclaims all warranties, express or implied. Kognitico shall not be liable for any direct, indirect, incidental, or consequential damages, including denied visa applications, missed deadlines, or legal penalties resulting from your use of or reliance on our tools. AI technology is a supplementary aid and is never a substitute for human professional judgment.

6. Prohibited Conduct

Users may not attempt to reverse-engineer the AI architecture, use the service to generate fraudulent immigration filings, bypass security measures, or scrape data from the platform.

7. Dispute Resolution: Mandatory Arbitration & Class Action Waiver

• Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
• Class Action Waiver: You and Kognitico agree that any proceedings to resolve disputes will be conducted solely on an individual basis and not in a class, consolidated, or representative action.
• Governing Law & Venue: These Terms and any disputes arising hereunder shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or arbitration proceeding not subject to the arbitration clause shall be brought exclusively in the state or federal courts located in Delaware.

8. Termination

We reserve the right to suspend or terminate your access to the platform at our sole discretion, without notice, for violations of these Terms. For questions, contact admin@kognitico.ai.
